OM SPA — CLIENT SERVICES POLICIES

Effective July 2025 | Applies to all in-clinic services: facials, SMP, PMU, scar blending, etc.

1. Appointment Booking, Rescheduling & Cancellations. A non-refundable booking fee is required to reserve any appointment. Clients may reschedule up to two (2) times with a minimum of 48 business hours' notice. The booking fee is transferable only if the new date is selected at the time of cancellation. A third reschedule requires full prepayment of the service to rebook. Cancellations without rescheduling, even with proper notice, result in forfeiture of the booking fee. Cancellations made less than 48 business hours in advance or no-shows will result in the remaining balance of the scheduled appointment fee being due on the day of the missed appointment. Clients arriving more than 15 minutes late may lose their session. In such cases, the remaining balance of the scheduled appointment fee is still due in full on that day. If the client chooses not to proceed with the treatment upon arrival, the remaining balance of the scheduled appointment fee is still due in full on that day.

2. Required Assessment – Get-to-Know-You Session. First-time clients must complete a paid skin or scalp assessment before booking any treatment. If a treatment is booked on the same day, the assessment fee is credited toward the service. If no appointment is booked that day, the assessment fee is non-refundable and non-transferable. Clients are expected to review their calendar and be ready to book on the same day.

3. Packages & Promotions All packages are final sale and non-refundable, even if not fully used. OM SPA does not provide refunds or credit for unused sessions. Promotional packages may include discounted rates, bonus treatments, or free gifts, which are non-transferable and non-exchangeable. All packages must be used within the validity period stated at purchase.

4. Payment Terms & Financing Accepted payment methods include: Affirm, Cherry, PayPal Credit, and CareCredit.

Clients must apply for financing on their own. OM SPA does not submit applications on the client's behalf. OM SPA is not responsible for the amount approved or denied by any third-party financing company. Financing approvals are binding between the client and the lender. All payments made through third-party financing are final and non-refundable. The remaining balance of the scheduled appointment fee is due on the day of the appointment, regardless of whether or not the service is completed. A 3% convenience fee applies to all credit card payments. Zelle and cash payments do not incur this fee.

5. Stored Card Authorization & Auto-Charge Policy By booking with OM SPA, clients authorize OM SPA to securely store their card on file and to charge the remaining balance of the scheduled appointment fee in accordance with the booking, rescheduling, and cancellation policies. This includes no-shows, late cancellations, and day-of cancellations. All charges are processed using secure, encrypted systems. A copy of these terms is publicly available online and linked via email or SMS at the time of booking.

6. Communication, AI Assistant, & Recording Policy OM SPA uses a voice AI concierge named Vivian, who may assist clients via phone, SMS, and email. Vivian supports tasks such as booking, reminders, confirmations, and answering basic service questions. By contacting OM SPA, the client consents to receiving communication from both human team members and AI systems. All communications may be logged or recorded for quality assurance purposes. All phone calls, in-person consultations, and virtual assessments may be recorded or monitored for internal quality control, training, and legal documentation.

7. Photography & Media Consent OM SPA requires all clients to allow mandatory photo documentation before, during, and after treatment for internal records. This is not optional. Clients may separately consent to the use of images or videos for: Social media, website galleries, or ads; Paid advertising and promotional materials; Professional training materials (including paid online programs). Clients who consent waive all rights to: Royalties; Compensation; Editorial control. Options include: Full-face media; Partial or cropped face; Blurred/anonymous image use.

8. Gift Certificate Terms All gift certificates are non-refundable and non-transferable to cash. They must be used within the validity period stated at purchase. Appointments booked using gift certificates follow the same cancellation and no-show policy.

9. Retail Product Return Policy (In-Clinic) Clients may return unopened, unused retail products purchased in-clinic within 14 calendar days of purchase. Returns must include: Original, sealed packaging and Original purchase receipt. Opened, used, or damaged items will not be accepted. Returns without a valid receipt will not be processed.

10. Dropshipped Products Policy Items shipped via third-party suppliers (dropshipping) are considered final sale unless: The product is damaged upon delivery, and The client submits a written return request with photos and proof of purchase within 7 days of delivery. Approved returns will be eligible for: Store credit or replacement (if inventory allows). Shipping fees are non-refundable. OM SPA is not responsible for delays, package theft, or courier issues. Clients must confirm their shipping address before finalizing the order.

11. Disputes, Refunds & Legal Terms All services, consultations, and procedures are non-refundable. All product and package sales are final. Online course sales are final upon access activation — no refunds under any circumstances. By completing a booking, the client agrees to resolve any disputes directly with OM SPA via internal communication. If a mutual resolution cannot be reached, both parties agree to resolve the matter in Small Claims Court of Cook County, Illinois, waiving class action and external arbitration. Chargebacks or unauthorized credit card disputes will be met with legal documentation and consent records submitted to the client's bank.

12. Client Responsibility for Pre/Post-Care Compliance Clients are required to follow all pre-appointment and post-treatment guidelines. OM SPA is not responsible for service delays, rescheduling, or outcomes caused by: Caffeine or alcohol intake before the appointment; Sun exposure, recent peels, or failure to follow prep instructions; Lack of antiviral medication when recommended (e.g., for lip services). If the service cannot be performed safely due to client non-compliance, the remaining balance of the scheduled appointment fee is still due.

13. Assessment Session Policy – Virtual & In-Person All first-time clients must complete a Get-to-Know-You Assessment session. Prior to the session, clients will receive a pre-assessment quiz to complete (health/lifestyle questions). For virtual sessions, the client must: Join from a quiet, private space (not while driving); Show the area they wish to treat on camera; OR send clear photos in advance with a brief description of their goals or concerns. If the client fails to prepare, the session may be cut short or rescheduled at OM SPA’s discretion.

14. Follow-Up Policy (After Initial or Multi-Session Treatments) For multi-session services (e.g., SMP, PMU), check-up appointments are mandatory and must be: Booked on the same day as the initial procedure; Attended either in person or virtually to ensure proper healing and eligibility for follow-up. The OM SPA specialist determines whether the client is ready to proceed. If the area is not healed or medically ready, the follow-up will be rescheduled for safety, without penalty. If a client misses the follow-up or cancels late, the session is marked as incomplete, and the outcome becomes the client’s responsibility.

15. Professional Judgment: Design, Density & Pigment Limitations The OM SPA specialist has the final decision on: Pigment depth and density; Hairline shape; Color saturation and design limits. Clients may request adjustments, but: Over-saturation, unnatural density, or over-darkening will be declined for health and aesthetic reasons. OM SPA follows strict guidelines to preserve natural appearance and long-term safety.

LOST/STOLEN PERSONAL ITEM:

Please leave all jewelry and valuable items at home. OM Spa is not responsible for lost or misplaced items. We regretfully cannot be responsible for any loss, theft or accidental damage to your personal belongings so please take extra caution to prevent any such occurrence. Please do not wear your best clothing for the appointment, as we are working with pigments and clothing can be stained.

7. Dispute Resolution

In the interest of resolving disputes in the most efficient manner, both you and Om SPA, LLC agree that any disputes arising from these Messaging Terms or your receipt of text messages and emails from Om SPA, LLC will be resolved through binding arbitration. Arbitration is a less formal process than a court lawsuit, using a neutral arbitrator. Arbitrators can award the same damages and relief as a court.

Exceptions: Nothing in these Messaging Terms waives your rights to bring individual actions in small claims court, pursue enforcement actions through applicable agencies, seek injunctive relief, or file suit for intellectual property infringement.

Arbitrator: Any arbitration will be governed by the Federal Arbitration Act and the rules of the American Arbitration Association (AAA). The arbitrator's decisions are final and binding.

Notice and Process: If arbitration is necessary, you must first send a written Notice of the dispute to Om SPA, LLC. We will make good-faith efforts to resolve the dispute before initiating arbitration. Fees will be governed by AAA Rules, and confidentiality will be maintained.

No Class Actions: You and Om SPA, LLC agree that claims will be brought on an individual basis and not as part of a class action.

Modifications to this Arbitration Provision: If Om SPA, LLC makes changes to this arbitration provision, you may reject the changes by sending a written notice within 30 days. The previous arbitration provision will continue to govern disputes between you and Om SPA, LLC.

ORDER CONFIRMATION, CONSUMER RETURN & REFUD POLICY

Om spa offers online skin care products purchase via drop shipping from our vendors. We are not responsible for return packages that may be lost or damaged in transit.
Upon order via website, you should receive automatic order confirmation. If there is an error in the order, that client made, it is your responsibility to inform us as soon as possible to correct; we will try to correct your order if still possible client is still responsible for full payment. We might exchange unwanted product for different if available only at the spa location.

We only accept the return of products originally purchased through the www.omspachicago.com website or at the Om Spa location.

Returned items are subject to inspection. All printed materials, promotional items, accessories, and any original product packaging must be returned. Returned products may not be unopened, unused not altered or damaged.

Repeated return requests are subject to review. We reserve the right to deny multiple refunds to an individual who has repeatedly returned products.

Returns that do not meet the return policy criteria will not qualify for a refund and may be returned at the customer’s expense or destroyed upon request.

We do not accept any product returns, exchanges, or refunds after 30 days from the date of purchase. We are not taking any responsibility for skin sensitivity (reaction) that occurs due to products purchase at Om Spa; there won't be a refund or exchange -NO EXCEPTION

REGISTRATION AND SECURITY

When you make a purchase through a Website, you must register for an electronic account (an “Account”). When you make a purchase with us through a Website, you agree: (i) that you will provide complete and accurate information about yourself; and (ii) if you have registered for an Account, to promptly update such information as it changes to ensure that it is kept accurate and complete. From time to time we may correct errors in pricing and descriptions. We reserve the right to refuse or cancel any order with an incorrect price listing.

In the event we are not able to ship to the shipping address you provide, we will notify you, your Order will be cancelled, and you will receive a refund in respect of your Order (unless you are able to provide an alternate eligible shipping address). All Orders made through Om Spa, LLC Websites are subject to the terms and conditions of this Agreement, as well as any other applicable terms and conditions outlined on the Websites relating to the Order. DELIVERY AND RIGHTS REGARDING ORDERS:

The estimated delivery time should be specified in your order; however, as we use a third party to sell and deliver orders, it is possible that your order will arrive before or after the estimated delivery time. Because we sell product based on "drop off" method, we will not be responsible for any delays in delivery which are beyond our control. If you do not receive your order within 15 days of the estimated delivery time, please let us know by emailing info@omspachicago.com. Please note that multiple orders may not always be shipped together. In addition, depending on the size of your order you may receive several shipments to complete your order.

The tracking number and estimated delivery time might be/or might not be specified in your Order; however, as we use a third party, and different vendors ( drop shipping) to deliver Orders, it is possible that your Order will arrive before or after the estimated delivery time. ERROR RESPONSIBILITY

Information (including, but not limited to, information relating to product descriptions, pricing, promotions, offers, and/or availability) provided by the OM Spa, LLC and its vendors, and/ or third parties. affiliates in relation to the Websites are believed to be accurate at the time of publication. Unfortunately, however, there may sometimes be information on the Websites that contains typographical errors, inaccuracies, or omissions. We reserve the right, in our sole and absolute discretion, to correct any such errors, inaccuracies or omissions and to change or update information or cancel Orders if any information on a Website is erroneous or inaccurate at any time without prior notice (including after you have submitted your Order).

Verification of Orders

All Orders are subject to verification by the Company at any time and for any reason. We reserve the right, in our sole and absolute discretion, to require proof of identity (in a form acceptable to us): (i) for the purposes of verifying the legitimacy of any Order and/or other information; and/or (ii) for any other reason we deem necessary, in our sole and absolute discretion, for the purposes of fulfilling an Order in accordance with our interpretation of the terms and conditions of this Agreement. In order to help protect you and Om SPA, LLC from fraudulent transactions, we may provide your transaction-related information to a reputable third-party organization to perform an address verification. This address verification is intended to ensure that the “bill to” address that you provide matches your credit card address.

ELECTRONIC TRANSMISSIONS:

The transmission of data or information over the internet or other forms of networks may not be secure, and is subject to possible loss, interception or alteration while in transit. OM SPA, LLC does not assume any liability for any damage you may experience or costs you may incur as a result of any electronic transmissions over the internet, other forms of networks or otherwise while using our Websites. In no event will any information you provide on or through any of our Website be deemed to be confidential, create any fiduciary obligations to you on our part, or result in any liability to you on our part in the event that such information is inadvertently released by us or accessed by third parties without your knowledge or consent.

MOBILE SERVICES

If you access our Site and other websites via a mobile device, such as a cell phone or tablet application, we do not charge for this access. Please be aware that your mobile carrier’s normal rates and fees, such as text messaging fees or data charges, will still apply.

MATERIAL YOU SUBMIT TO THE SITE
You shall not upload, post or otherwise make available on the Site any artwork, photos, or other materials (collectively “Materials”) protected by copyright, trademark, or other proprietary right without the express written permission of the owner of the copyright, trademark, or other proprietary right, and the burden of determining that any Materials are not so protected rests entirely with you. You shall be liable for any damage resulting from any infringement of copyrights, trademarks, or other proprietary rights, or any other harm resulting from such a submission. We claim no intellectual property rights over the material you supply to Om SPA, LLC. You retain copyright and any other rights you may rightfully hold in any content that you submit through the Site or Service. Content you submit to Om SPA, LLC remains yours to the extent that you have any legal claims therein. You agree to hold Om SPA, LLC harmless from and against all claims, liabilities, and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against you. Content or intellectual property, in whole or in part, without our prior written consent. We reserve the right to immediately remove you from the Service, without refund, if you are caught violating this intellectual property policy.

The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be The United States, in small court in Cook County. The parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement by mediation, which shall be conducted under the then current mediation procedures of The CPR Institute for Conflict Prevention & Resolution or any other procedure upon which the parties may agree. The parties further agree that their respective good faith participation in mediation is a condition precedent to pursuing any other available legal or equitable remedy, including litigation, arbitration, or other dispute resolution procedures.

RECOVERY OF LITIGATION EXPENSES
If any legal action or any arbitration or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party or parties shall be entitled to recover reasonable attorney’s fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.

SEVERABILITY
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.

ASSIGNMENT
These Terms and Conditions bind and inure to the benefit of the parties’ successors and assigns. These Terms and Conditions are not assignable, delegate, sublicensable, or otherwise transferable by you. Any transfer, assignment, delegation, or sub license by you is invalid.
